Alderney Company Filing and Notification Requirements

Generally, the Registrar should be informed of company changes using the standard forms provided.

In most instances a fee applies for this notification.

Annual Return

An Alderney company must complete an annual return each calendar year before 31st January and deliver it to the Registrar, using the standard form provided.  pdf icon Annual Return Form [236kb]  The return must contain information which is current on 1st January of that year.  

Change of Registered Office

To change its registered office an Alderney company must give written notice to the Registrar using the standard form provided. pdf icon Notice of Change of Registered Office [288kb]  The change is only effective once it has been entered by the Registrar in the register of companies.

Change of  Secretary

An Alderney company must give written notice to the Registrar of a change in secretary within 14 days of the event using the standard form provided.pdf icon Change of Company Secretary [289kb]

Change of  Director

An Alderney company must give written notice to the Registrar of a change in director within 14 days of the event using the standard form provided.pdf icon Notice of Change of Company Director [289kb]

Change of Resident Agent

An Alderney company must give written notice to the Registrar of a change in resident agent, or a change to the resident agent's address within 14 days using the standard form provided.  The notification must include the date on which the change occurred.pdf icon Change of Resident Agent [117kb]

No fee is payable for a change in resident agent notification.

Change of Share Capital

An Alderney company can change its share capital by special resolution.  The special resolution must be lodged with the Registrar.  The filing of the special resolution will attract a fee.  

Change of Type of Company

An Alderney company can change the type of company it is (private or public) by altering its memorandum by special resolution.  The special resolution must be lodged with the Registrar.  The filing of the special resolution will attract a fee.

Alteration of Memorandum and Articles

An Alderney company can change the objects in its memorandum and its articles by special resolution.  The special resolution must be lodged with the Registrar, to which a fee applies, and it must deliver a copy of the altered memorandum or articles to the Registrar within 30 days of the alteration being made.

Change of Shareholder

An Alderney company does not generally need to inform the Registrar of a change in shareholding at the time of the change. The change of shareholder should be notified to the Registrar on the next annual return due after the change.

However, if the company owns land or property in Alderney the Registrar does need to be informed of the change in shareholder and duty is payable.pdf icon Duty on Company Share Transfer Form [185kb]

Change of Record of Beneficial Owners

A company's resident agent must notify the Registrar of any change in the particulars contained in the record of beneficial owners within 14 days of the change.  The notification must include the date on which the change occurred.  Any such notice must also be served on the company by the resident agent. pdf icon Beneficial Ownership Form [167kb]

Change of Company Name

An Alderney company can change its name by special resolution but it shall not be effective until confirmed by an order of the Court of Alderney for which Court fees are payable.pdf icon Fees Notice General Court [578kb]

Prior to the Court hearing of an application to confirm a change of name the Company must lodge the special resolution with the Registrar, to which a fee applies.pdf icon Company Registry Fees [122kb]

The company is also required to place a notice in the Alderney Gazette on two occasions, falling in successive weeks, giving details of the proposed change of name and of the date, time and place of the hearing.
