Notifying Company Changes
Generally the Registrar should be informed of Company changes using the standard forms provided.
In most instances a fee applies for this notification.
Following any year in which any company change has been made the company is required to submit a full annual return.
Change of Registered Office
An Alderney Company is obliged to inform the Registrar of a change of Registered Office within 14 days of the event, using the standard form provided. Notice of Change of Registered Office [288kb]
Change of Secretary
An Alderney Company is obliged to inform the Registrar of a change in Secretary within 14 days of the event, using the standard form provided. Change of Company Secretary [289kb]
Change of Director
An Alderney Company is obliged to inform the Registrar of a change in Director within 14 days of the event, using the standard form provided. Notice of Change of Company Director [289kb]
Change of Resident Agent
A change in Resident Agent should also be notified within 14 days using the standard form provided. Notice of Resident Agent [290kb]
No fee is payable for a change in resident agent notification.
Change of Share Capital
A Special Resolution should be lodged with the Registrar to change the share capital, to which a fee applies. Document duty is also payable on the increase of the value of the share capital.
Change of Shareholder
An Alderney Company does not generally need to inform the Registrar of a change in shareholding at the time of the change. The change of shareholder should be notified to the Registrar on the next annual return due after the change.
Where the Company owns Land or Property in Alderney the Registrar does need to be informed of the change in shareholder and duty is payable. Duty on Company Share Transfer Form [353kb]
Change of Company Name
An application to the Court of Alderney is required to change the name of an Alderney registered Company, for which Court fees are payable. Fees Notice General Court [578kb]
Prior to the Court application the Company must lodge a Special Resolution with the Registrar, to which a fee applies. Company Registry Fees [125kb]
The Company is also required to publish two successive Notices in the Alderney Gazette prior to the Court application.
